Would US Style ESPPs Offer A Simpler Multi-Jurisdiction Solution?

Background: In this presentation, Jeremy Edwards discusses whether US-style employee stock purchase plans (ESPPs) could provide a simpler multi-jurisdiction solution for employee share plans compared to UK tax-advantaged plans like Sharesave and Share Incentive Plans (SIPs). It covers the legal requirements, tax advantages, and administration of US ESPPs. It contrasts the design and advantages of ESPPs against UK Sharesave and SIP plans to evaluate if the simpler ESPP structure could be a viable alternative internationally. The presentation was debated by the panel on "Global Share Plans", at the Esop Centre’s 2024 Share Plans Symposium on 25 April.

Jeremy Edwards is a Partner and Head of the London and European Employee Benefits Group, specialising in all aspects of employee share plans. He has over 28 years' experience as a share plan lawyer and two years' experience as a corporate lawyer. He advises on employee share plans, executive compensation and the taxation of employees, advising clients regularly on all aspects of the launch of their international share plans, including with respect to employer and employee taxation consequences, securities laws and exchange controls and employment law consequences. Jeremy is a regular speaker at share plan industry conferences, is an active member in leading share plan industry organisations and sits on the Steering Committee of the Esop Centre.
